SEAKEEPER RIDE WHOLESALE MINIMUM ADVERTISED PRICE POLICY

Effective July 28, 2023

In order to successfully compete in the marketplace and to maintain its premium brand image, Seakeeper Inc., (“Seakeeper Ride”) has announced this Wholesale Minimum Advertised Price (‘WMAP’) Policy. Accordingly, all forms of wholesale advertising for sales from Distributors to Re-sellers of products set forth in Seakeeper’s Wholesale MAP Price List are subject to this Wholesale MAP Policy.

Seakeeper Ride products covered and their coordinating wholesale minimum advertised prices are set forth in the Seakeeper Ride WMAP Price List. Seakeeper reserves the right, from time to time to alter, modify, suspend, or cancel this WMAP Policy, the products covered, and the wholesale minimum advertised prices.  

This policy does not restrict in any way the Distributor’s right to establish its own independent advertised and resale prices of Seakeeper Ride products. Seakeeper Inc, reserves the right to determine whether a Distributor has advertised Seakeeper Ride’s products at a price less than the minimum advertised price established in its WMAP Policy. After satisfactory verification of a WMAP Policy violation, Seakeeper Inc., at its sole discretion and without assuming any liability, will cancel all orders and refuse to accept new orders for a period of six (6) months from any Distributor that has advertised such WMAP Product at a net price less than the WMAP published in the current Seakeeper Ride WMAP List. Moreover, all subsequent WMAP Policy violations by the Distributor will result in further sanctions, penalties, and enforcement actions as Seakeeper may deem appropriate, including but not limited to, the indefinite discontinuation of orders from the Reseller, loss of discounts, and/or termination of the Distributor Purchasing Agreement.

This policy has been unilaterally adopted by Seakeeper and is a unilateral statement of the terms upon which Seakeeper will do business. It is not an agreement between the Distributor and Seakeeper to establish or maintain any particular price for any Seakeeper Ride product. It is the unilateral decision of the Distributor, whether or not, to acquiesce with our policy. Nothing in this policy shall constitute an agreement between Seakeeper and any Distributor of compliance with this policy. Seakeeper will not discuss conditions of acceptance related to this policy. This policy is non-negotiable and will not be altered, modified, or amended for any Distributor.  

Policy Violations:

• Combining Product(s) from the Wholesale MAP Price List with any other product for a sales price lower than the combined price of what the two (2) Products could be purchased independent of each other, is a violation of Seakeeper’s Wholesale MAP Policy.
• The issuance by Distributors of rebates (in any form) on a Product(s) listed in the Wholesale MAP Price List that have not been announced by Seakeeper is a violation of Seakeeper’s Wholesale MAP Policy.

Policy Exceptions:

• Distributors offer of free shipping or financing on product(s) in the WMAP Price List
• Approved loyalty programs that do not advertise the Seakeeper brand or offer specific discounts on specific Seakeeper products. 
• Seakeeper, from time to time, within its sole discretion may announce promotion prices and bundles of the Product(s) listed in the Wholesale MAP Price List. 

Seakeeper Ride’s sales personnel have no authority to modify or grant exceptions to this policy. All questions regarding interpretation of this policy should be directed to the Policy Administrator at: ride.sales@seakeeper.com.
